Terms of Service
Last updated: October 6, 2026
1. Acceptance of terms
These Terms of Service (the “Terms”) govern access to and use of Untoil, including the website at untoil.com, the web application, the Untoil browser extension, the Untoil Slack, Google Chat and Microsoft Teams apps, the Untoil MCP server, and any related software and services (together, the “Service”). The Service is operated by Untoil, Inc., a Delaware corporation (“Untoil,” “we,” “us,” or “our”).
By creating an account, connecting a workspace, installing one of our apps or extensions, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization. If you do not agree, do not use the Service.
If your organization has a separate written agreement with Untoil that covers the Service, that agreement controls where it conflicts with these Terms.
Where we process personal data on your organization’s behalf and a data protection law requires terms for it, our Data Processing Addendum forms part of these Terms. It needs no separate signature.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is for use at work and is not offered to consumers for personal, family, or household purposes. When you create an account you agree to provide accurate information and to keep it current. You are responsible for safeguarding your sign-in method (including magic links, passkeys, and single sign-on credentials) and for all activity under your account. Notify us promptly at team@untoil.com of any unauthorized use.
3. Workspaces, managers, and members
The Service is organized around workspaces (“Teams”). The organization that creates a Team is the “Customer.” Within a Team, people with the manager role (“Managers”) can connect integrations, set hourly rates and headcount, invite and remove members, change roles, configure notifications, manage billing, and see everything posted to the Team, including content posted by other members. Members can post, comment, and view their Team’s toil according to the permissions the Customer has set.
The Customer controls its Team and the data in it. Untoil acts on the Customer’s instructions. If you are a member, your Customer’s Managers can view, edit, export, and delete content in the Team, and may remove your access at any time. The Customer, not Untoil, is responsible for giving its workforce any notice or obtaining any consent that applicable law or its own policies require for the Service to read connected workspace data and to attribute repeated work to named people.
A Manager who connects Slack, Google Workspace, Microsoft 365, an HR or payroll provider, or any other third-party system represents that they are authorized by the Customer to grant Untoil that access.
4. Subscriptions, fees, and payment
Parts of the Service require a paid subscription. Fees, billing periods, and what is included are described at the point of purchase. Payments are processed by Stripe, and by subscribing you also agree to Stripe’s terms. We do not store full payment card numbers.
- Renewal. Subscriptions renew automatically at the end of each billing period until cancelled. A Manager can cancel from the billing portal at any time. Cancellation takes effect at the end of the current period, and you keep access until then.
- Refunds. Fees are non-refundable except where the law requires otherwise. Cancelling does not refund the current period, and you keep access until that period ends.
- Price changes. We may change fees with at least 30 days’ notice. Changes apply at your next renewal after the notice period.
- Taxes. Fees exclude taxes. You are responsible for any sales, use, VAT, GST, or similar taxes other than taxes on our income.
- Non-payment. If a payment fails and is not cured after notice, we may suspend or downgrade the Team until it is.
5. Early access and beta features
The Service, or features within it, may be offered as early access, preview, or beta. Those features may change, be withdrawn, or be made paid at any time, may be less reliable than the rest of the Service, and are provided without any service commitments. Feedback you give on them is covered by section 12.
6. AI features and estimates
Untoil uses artificial intelligence, including large language models from third-party providers, to read what you and your connected tools tell it, write up repeated work (“toil”), decide whether a report matches an existing one, estimate the time and cost involved, identify who may be affected, draft solutions, and answer questions in Ask Untoil (together, “AI Output”).
- AI Output is generated automatically and may be inaccurate, incomplete, out of date, or attributed to the wrong person or department. Hour and dollar figures are estimates, not measurements, and you should verify any AI Output before relying on it.
- AI Output is not legal, financial, accounting, human-resources, or other professional advice. You are responsible for decisions you make with it. In particular, you agree not to use AI Output as the sole or primary basis for any decision about an individual’s employment, compensation, performance, discipline, promotion, or eligibility. A person with authority to reach a different conclusion must review the underlying facts first. This is a condition of your licence to use the Service, not a recommendation.
- You may not use the Service or any AI Output to develop, train, fine-tune, or improve a machine learning model or competing service, and you may not attempt to extract our prompts, system instructions, or model configuration.
- Our model providers are listed in our Privacy Policy. Under our gateway provider’s agreements with them, they do not train on your content, and we route only to providers that agree to that.
7. Connected services
The Service can connect to third-party products that we do not control, including Slack, Google Workspace (Drive, Chat, and Directory), Microsoft 365 (OneDrive, SharePoint, Teams, Calendar, and Entra Directory), HR and payroll providers through Finch, and your company’s public website. Each connection is made by a Manager through that provider’s own consent flow, is limited to the permissions shown in that flow, and can be revoked in the provider’s admin console or by disconnecting it in Untoil.
Your use of a connected service is governed by that provider’s terms. We are not responsible for the availability, content, or practices of connected services, and a change on their side may change or stop what Untoil can do with them. Untoil reads only content that is visible to the whole Team in those tools, and never direct messages or private groups, unless a person chooses to share something with Untoil themselves. Our use of Google user data complies with the Google API Services User Data Policy, including its Limited Use requirements.
8. Browser extension, apps, and MCP server
The Untoil browser extension lets you post toil from any page and attach a screenshot or screen recording. Opening the extension captures the tab you are on and uploads it to your drafts; recordings start only after you pick a screen. What you capture is treated as your User Content, and you are responsible for what appears in it, including other people’s information. The extension is also subject to the Chrome Web Store terms.
The Untoil MCP server lets an AI client you control (such as Claude Desktop or Cursor) read and post to your Team on your behalf after you sign in. Anything that client does through the server is treated as done by you, and the client’s own provider terms govern what it does with the data it receives. The Slack, Google Chat, and Teams apps are subject to those platforms’ terms in addition to these.
9. Acceptable use
You agree not to misuse the Service. Without limitation, you may not:
- Violate any applicable law or regulation, or infringe the rights of others, including privacy and employment rights.
- Connect a workspace, directory, or HR system you are not authorized to connect, or use the Service to monitor people in a way that applicable law or your organization’s own policies do not permit. You represent that you have given, and will keep giving, every notice and obtain every acknowledgement that electronic monitoring, employment, and privacy laws require of you. New York, Connecticut, Delaware, and Maine each require employers to tell staff before monitoring them, and Maine requires it again every year.
- Access, tamper with, or use non-public areas of the Service or our systems without authorization, or probe, scan, or test the vulnerability of the Service.
- Upload or transmit malware, or interfere with or disrupt the integrity or performance of the Service, including by automated requests beyond what our documented APIs and MCP server allow.
- Use the Service to send unsolicited communications, or to harass, abuse, defame, or harm others, including in anonymous posts.
- Resell, sublicense, or provide the Service to third parties, or copy, reverse engineer, or build a competing product from it except as permitted by law.
10. Customer data and User Content
“User Content” is anything you or your Team submit, post, upload, say, or record through the Service, including toil reports, comments, chat conversations, attachments, voice input, screenshots, screen recordings, and emails you send to Untoil. “Workspace Data” is data we receive from connected services on the Customer’s instruction. Together these are “Customer Data.”
As between you and Untoil, the Customer owns its Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, and display Customer Data, and to create AI Output from it, solely to operate, provide, secure, support, and improve the Service for you and as otherwise described in our Privacy Policy. You represent that you have the rights needed to submit Customer Data and to grant this license.
We may collect and use data about how the Service is used (“Usage Data”) and may use Customer Data in aggregated or de-identified form that does not identify any person or Customer, for purposes such as benchmarking, improving our models and estimates, and reporting. We publicly commit to keep and use that data only in de-identified form, not to attempt to re-identify it, and to require the same of anyone we give it to.
11. Intellectual property
The Service, including its software, design, text, graphics, prompts, and logos, is owned by Untoil, Inc. or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your organization’s internal business purposes. Except for the rights expressly granted here, we reserve all rights in the Service. You may not copy, modify, distribute, or create derivative works from it without our prior written consent.
12. Feedback
If you give us suggestions, ideas, ratings, roadmap requests, or other feedback about the Service, including thumbs up or down on an Untoil reply, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you. Feedback does not include Customer Data.
13. Confidentiality
We will treat Customer Data as confidential, use it only as these Terms and the Privacy Policy allow, and protect it with at least reasonable care. This does not apply to information that is public through no fault of ours, that we already had, or that we are required by law to disclose, in which case we will give you notice where the law allows.
14. Disclaimers
THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY DECISION.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNTOIL, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR ANY AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.
16. Indemnification
You agree to indemnify, defend, and hold harmless Untoil, Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your Customer Data, your connection of third-party systems, your use of AI Output in decisions about people, or your violation of these Terms or applicable law.
17. Suspension and termination
You may stop using the Service at any time, and a Manager may cancel the Team’s subscription as described in section 4. We may suspend or terminate access to the Service, with notice where practical, if we believe you have violated these Terms, if required by law, if your use poses a security risk, or if we discontinue the Service. After termination, we will delete or return Customer Data as described in our Privacy Policy, subject to the retention periods stated there. Sections that by their nature should survive termination will survive, including sections 10 through 16 and 19 through 21.
18. Changes to the Service and these Terms
We may change the Service, and we may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by email to Managers, by notice in the Service, or by updating the “Last updated” date above. Changes take effect no sooner than 30 days after notice, except changes required by law or that add new features, which may take effect immediately. Your continued use after changes take effect constitutes acceptance of the revised Terms.
19. Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. For any claim not subject to arbitration, and if the arbitration section is held unenforceable, you agree to the exclusive jurisdiction of the state and federal courts in San Francisco County, California.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its applicable rules, governed by the Federal Arbitration Act. YOU AND UNTOIL WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Arbitration takes place in San Francisco, California, or by videoconference if you prefer.
Either party may bring an individual claim in small claims court, and either party may ask a court for an injunction to protect intellectual property or confidential information, without giving up this section. Claims seeking public injunctive relief are also outside arbitration and may be brought in court.
You may opt out of arbitration by emailing team@untoil.com within 30 days of first accepting these Terms, naming yourself and the account it applies to. Opting out changes nothing else in these Terms.
20. General
- Export and sanctions. You may not use the Service in violation of U.S. export control or sanctions laws, and you represent that you are not located in an embargoed country or on a restricted-party list.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Notices. We may give notice by email to the address on your account or within the Service. Notices to us go to team@untoil.com.
- Entire agreement. These Terms, the Privacy Policy, and any order or written agreement with Untoil are the entire agreement between us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
